Memorandum of agreement between John Ericsson of New York and Okie his associates of Philadelphia, in part: "Whereas certain experiments are about being made for the purpose of fully ascertaining whether Ericsson's Caloric Engine can be employed for the purpose of propelling city rail-road cars, and whereas Okie and his associates…are desirous of purchasing the exclusive right to employ said Engine as a motor for the propulsion of cars on all the rail-roads in the said City of Philadelphia…Okie and his associates bind themselves, if it shall be practically demonstrated that this Engine is applicable as a motor for the propulsion of city rail-road cars to purchase the exclusive right to employ the same for this purpose in the city of Philadelphia."
